Terms of Service

1. Acceptance of Terms

By accessing or using the Nirman Creations platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and Nirman Creations Pvt. Ltd. ("Company"), governed by the laws of India.

2. Eligibility

• You must be at least 18 years old to use the Platform
• Vendors must possess valid business registrations applicable to their trade
• All users must complete KYC verification to access payment features
• You must provide accurate, current, and complete information during registration

3. Platform Role

Nirman Creations operates as a marketplace and intermediary connecting clients with construction service vendors. We are not a party to any contract between clients and vendors. The Platform facilitates discovery, communication, quoting, payment processing, and dispute resolution, but does not guarantee the quality, timeliness, or outcome of any service rendered.

4. User Accounts

4.1 Registration

• You may register as a Client, Vendor, or both
• Each user must maintain only one account per email address
• You are responsible for maintaining the confidentiality of your login credentials

4.2 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, receive multiple verified complaints, or fail to complete KYC verification within 30 days of first transaction.

5. Services & Fees

5.1 Platform Fee

Nirman Creations charges a 5% platform fee on all completed project transactions. This fee is deducted from the vendor's payout at the time of milestone release.

5.2 Payment Processing

• All payments are processed through Razorpay, a RBI-regulated payment gateway
• Funds for projects are held in escrow until milestone completion
• Vendor payouts are processed within 3-5 business days after milestone approval
• GST at applicable rates is charged on the platform fee

5.3 Wallet

Users may maintain a Platform wallet for faster transactions. Wallet funds can be withdrawn to a linked bank account at any time, subject to minimum withdrawal limits and KYC verification.

6. Vendor Obligations

• Provide accurate portfolio, certifications, and experience information
• Submit honest and competitive quotes with detailed breakdowns
• Complete work as per agreed milestones, timelines, and quality standards
• Maintain valid insurance and licenses as applicable to the service category
• Respond to client messages within 48 hours
• Submit KYC documents for verification before receiving payouts

7. Client Obligations

• Provide accurate project requirements, budget, and timeline expectations
• Fund escrow for approved milestones in a timely manner
• Approve or dispute milestones within 7 days of completion submission
• Communicate respectfully and professionally with vendors
• Pay all applicable taxes on services received

8. Prohibited Activities

• Submitting false or misleading information
• Circumventing the platform to avoid fees (off-platform transactions)
• Harassment, discrimination, or abusive communication
• Creating multiple accounts to manipulate ratings or reviews
• Attempting to exploit platform vulnerabilities or scrape data
• Money laundering or using the platform for illegal transactions
• Posting fake reviews or bribing users for positive ratings

9. Intellectual Property

• The Platform, its design, logos, and software are the property of Nirman Creations
• User-submitted content (photos, descriptions, reviews) remains the property of the user
• By uploading content, you grant Nirman Creations a non-exclusive, worldwide license to display it on the Platform
• Vendors retain intellectual property rights to their designs and plans unless otherwise agreed with the client

10. Dispute Resolution

1. Direct Communication: Parties should first attempt to resolve disputes directly
2. Platform Mediation: Either party may escalate to Nirman Creations for mediation
3. Arbitration: Unresolved disputes will be settled by binding arbitration under the Indian Arbitration and Conciliation Act, 1996
4. Jurisdiction: Courts in Mumbai, Maharashtra shall have exclusive jurisdiction

12. Indemnification

You agree to indemnify and hold harmless Nirman Creations, its directors, employees, and agents from any claims, losses, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

• You may close your account at any time from the dashboard settings
• Pending payments and escrow funds will be settled before account closure
• Data retention after termination follows our Privacy Policy
• We may terminate accounts with 30 days notice for any reason, or immediately for Terms violations

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
